These Terms of Service (“Terms”) govern your use of the MessageSpecs website, digital products, online courses, software applications, and related services (collectively, the “Services”) provided by MessageSpecs LLC (“MessageSpecs,” “Company,” “we,” “our,” or “us”).
By purchasing a product, creating an account, or using any portion of our Services, you agree to these Terms.
1. Eligibility
You must be at least 18 years old, or have the permission of a parent or legal guardian, to use our Services.
You agree to provide accurate account information and to keep your information current.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
2. Accounts
Some Services require a registered account.
Your website account may also provide access to:
- MessageSpecs Studio
- MessageDeck products
- Online courses
- Premium content
- Licensed digital products
- Collaborative workspaces
You may not share your account credentials with others.
We reserve the right to suspend or terminate accounts that violate these Terms or are used fraudulently.
3. Purchases
Our Services may include:
- Digital downloads
- Software subscriptions
- Online courses
- Messaging frameworks
- Templates
- Consulting resources
- Premium content
Prices are displayed at the time of purchase.
Payment is processed by third-party payment processors. We do not store complete payment card information.
If payment cannot be completed, we may suspend access until payment is successfully received.
4. Subscriptions
Some Services are provided on a recurring subscription basis.
By purchasing a subscription, you authorize recurring charges according to the billing schedule presented during checkout.
You may cancel a subscription at any time. Cancellation prevents future renewals but does not automatically generate refunds for prior billing periods unless required by law.
Upon cancellation, access continues through the end of the current billing period unless otherwise stated.
5. License
Subject to these Terms, MessageSpecs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business use.
You may not:
- resell our products
- redistribute licensed materials
- sublicense content
- publicly republish proprietary materials
- reverse engineer our software
- remove copyright notices
- use our content to create competing commercial products
Ownership of all MessageSpecs intellectual property remains with MessageSpecs LLC.
6. User Content
You retain ownership of the messaging content, notes, responses, decks, and other materials you create using our Services.
By using the Services, you grant MessageSpecs a limited license to store, transmit, back up, and display your content solely for the purpose of operating the Services.
We do not claim ownership of your messaging content.
7. Shared Workspaces
Certain Services allow collaboration with other users.
Content you intentionally share within a workspace may be visible to invited participants according to the permissions you assign.
You are responsible for determining what information you choose to share.
8. Artificial Intelligence Features
Some Services may include AI-assisted features that help organize, summarize, cluster, rewrite, or analyze messaging content.
AI-generated output is provided as a creative or analytical aid.
You remain solely responsible for reviewing, editing, and approving any content generated with AI assistance before using it publicly or professionally.
9. Acceptable Use
You agree not to:
- violate any applicable law
- infringe intellectual property rights
- upload malicious software
- interfere with the operation of the Services
- attempt unauthorized access to systems or accounts
- scrape or automate extraction of proprietary content
- impersonate another individual
- use the Services for fraudulent purposes
Violation of this section may result in immediate suspension or termination.
10. Intellectual Property
All software, graphics, branding, MessageDeck content, instructional materials, videos, documentation, and other proprietary materials remain the intellectual property of MessageSpecs LLC unless otherwise indicated.
Nothing in these Terms transfers ownership of our intellectual property.
11. Refund Policy
Due to the immediate availability of digital products and online services, purchases are generally non-refundable.
Subscription cancellations become effective at the end of the current billing period unless otherwise required by law.
Any exceptions will be clearly stated on the applicable product page.
12. Availability of Services
We strive to provide reliable access to our Services.
However, we do not guarantee uninterrupted availability.
Maintenance, software updates, third-party outages, Internet interruptions, or circumstances beyond our reasonable control may temporarily affect availability.
We reserve the right to modify, discontinue, or replace Services at any time.
13. Privacy
Your use of the Services is also governed by our Privacy Policy.

14. Disclaimers
The Services are provided “as is” and “as available.”
To the fullest extent permitted by law, MessageSpecs disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee any particular business, financial, educational, or marketing outcome resulting from use of the Services.
15. Limitation of Liability
To the fullest extent permitted by law, MessageSpecs LLC shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from your use of the Services.
Our total liability arising from any claim related to the Services shall not exceed the greater of:
- the amount you paid to MessageSpecs during the twelve months preceding the claim; or
- $100 USD.
Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.
16. Indemnification
You agree to indemnify and hold harmless MessageSpecs LLC and its owners, employees, contractors, and affiliates from claims, damages, liabilities, costs, and expenses arising from:
- your use of the Services
- your violation of these Terms
- your infringement of another person’s rights
17. Termination
We may suspend or terminate access to the Services if you:
- violate these Terms
- fail to pay applicable fees
- misuse the Services
- engage in unlawful conduct
- compromise the security or operation of the platform
Termination does not affect obligations that, by their nature, should survive termination.
18. Force Majeure
MessageSpecs shall not be liable for delays or failures resulting from causes beyond our reasonable control, including natural disasters, acts of government, labor disputes, Internet outages, cyberattacks, failures of third-party providers, or other events outside our control.
19. Governing Law
These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law principles.
20. Dispute Resolution
The parties agree to attempt to resolve disputes through good-faith negotiation.
If a dispute cannot be resolved informally, the parties agree to participate in mediation before initiating arbitration.
Any arbitration shall be conducted in Howard County, Maryland, under the rules of the American Arbitration Association, unless both parties agree otherwise.
Each party shall bear its own legal costs unless otherwise determined by the arbitrator or required by applicable law.
21. Changes to These Terms
We may update these Terms from time to time.
Material changes will become effective upon posting an updated version on our website.
Continued use of the Services after revised Terms become effective constitutes acceptance of those revisions.
22. Severability
If any provision of these Terms is determined to be unenforceable, the remaining provisions shall remain in full force and effect.
Failure to enforce any provision shall not constitute a waiver of that provision.
